Eric C. Marshall A skillful negotiator, expert in drafting complex documents, Eric Marshall has developed a practice focusing on non-public M&A transactions, outsourcing and commercial contracting for manufacturing and distribution businesses. He has advised a broad range of enterprises, from start-up companies to business units within global entities generating several billion dollars in revenues. An insightful and practical problem solver, Eric frequently acts as general counsel to business owners and management, and is adept at counseling businesses as they implement plans for growth, execute business strategies, or respond to and manage risk. A former in-house counsel, Eric has practical experience in handling the full range of legal issues that face a manufacturing and marketing organization. In his private company M&A practice, Eric regularly represents buyers and sellers in traditional acquisitions and related financings, including borrower-side credit facilities, and transactions involving sale of a division of a larger company. He has represented corporations and individuals in forming and re-negotiating domestic and international joint ventures, and has extensive experience in early-round venture capital transactions, representing both venture investors and early stage companies. As former in-house corporate and commercial transactions counsel for BP Amoco, a multinational oil and chemicals company, Eric is savvy and experienced in delivering practical and efficient solutions to business problems. He is adept at efficient delivery of front-line commercial contracting services, including drafting and negotiation of significant product purchase and sale contracts, forms development, and the management of day-to-day contracting activity. Eric has strong capability in technical and specialty contracting areas that can effectively supplement an in-house staff, such as outsourcing and strategic procurement sourcing, software licensing and energy contracting. His background in the chemical industry has helped him develop an expertise in the particular types of contracts and transactions that arise among multiple parties at complex interdependent manufacturing facilities. Eric is involved in the Chicago arts community and is a board member of a Chicago-based organization dedicated to the creative arts. He has served as pro bono counsel to not-for-profit charitable organizations, including as general counsel to a nonprofit trade association. Areas of Practice
